LEADSPYDER.AI TERMS OF SERVICE

1. ACCEPTANCE OF TERMS

By accessing or using LeadSpyder.AI, completing the SpyderOnboarding process, installing the WebTracker snippet, or activating a trial or paid subscription, you ("Client," "you," "your") agree to be bound by these Terms of Service ("Terms"). If you are entering into these Terms on behalf of a business entity, you represent that you have authority to bind that entity.

If you do not agree to these Terms, do not use the Service.

2. DESCRIPTION OF SERVICE

LeadSpyder.AI is a visitor identification platform that deploys SpyderBot, an AI-powered identification engine, on your website via the WebTracker JavaScript snippet. SpyderBot collects first-party behavioral signals from website sessions, cross-references those signals against a third-party identity graph, and delivers enriched contact profiles ("Caught Visitors") to your SpyderDash dashboard inside the WySMart App.

2.1 Identification Rate Disclaimer

SpyderBot catches then identifies a portion of your anonymous website traffic. Identification rates benchmark at 20 to 40% for US SMB traffic. Actual Caught Visitor volume is directly dependent on your website's monthly traffic volume and the identifiable fraction of that traffic within our identity graph. Your plan defines a monthly cap, not a guaranteed delivery count. Low-traffic websites will yield fewer Caught Visitors than high-traffic sites. These limitations are disclosed at onboarding and do not constitute a breach of service.

2.2 What SpyderBot Does Not Guarantee

• A specific number of Caught Visitors per month
• 100% accuracy of all delivered contact data
• Identification of every anonymous visitor to your website
• Identification of visitors using VPNs, privacy browsers, or certain ad blockers
• Revenue outcomes or specific ROI from Caught Visitors

3. PLANS, PRICING & BILLING

3.1 Available Plans

• SpyderBot Essentials: $197.00 per month, up to 250 Caught Visitors per month
• SpyderBot Intelligence: $497.00 per month, up to 500 Caught Visitors per month
• Annual Plans: $1,970.00/year (Essentials) or $4,970.00/year (Intelligence), equivalent to 10 months paid, 2 months free

3.2 Free Trial

New accounts receive a 7 day free trial beginning on the date of signup. During the trial period, SpyderBot operates with no monthly Caught Visitor cap and no charge is applied. A valid payment method is required to activate the trial. On Day 8 following signup, your payment method will be automatically charged at the applicable plan rate unless you cancel before midnight on Day 7.

3.3 Automatic Renewal

Subscriptions renew automatically on the billing anniversary date at the then-current plan rate unless cancelled. You authorize WySMart AI to charge your payment method on file for all applicable subscription fees, overage charges, and ReCapture offers you have opted into.

3.4 Caught Visitor Overage Charges

If you exceed your monthly plan cap and have opted into overage billing, additional Caught Visitors will be charged at your industry-tier rate per Caught Visitor with a minimum floor of $3.00 per Caught Visitor. Overage billing requires explicit opt-in and will not be charged without documented consent on file.

3.5 WebNet Cap

You may optionally set a monthly budget cap inside your SpyderDash. If a budget cap is set, the minimum permissible cap is $500.00 per month. SpyderBot will pause Caught Visitor delivery to your SpyderDash upon reaching your cap. You may receive a ReCapture offer for held visitors at the billing reset at a rate of 1.20 times your standard Caught Visitor rate. Maximum one ReCapture offer per billing cycle.

3.6 Price Changes

WySMart AI reserves the right to change subscription pricing with 30 days written notice to the email address on your account. Founding Member clients who qualified for a lifetime rate lock are exempt from price increases on the plan tier held at time of founding member qualification.

3.7 Payment Processing

All payments are processed via Stripe. WySMart AI does not store credit card numbers. By providing payment information, you agree to Stripe's terms of service at stripe.com/terms.

4. TRIAL AND REFUND POLICY

4.1 7 Day Free Trial

Your free trial period is 7 days from the date of signup. No charge is applied during the trial. You may cancel at any time before midnight on Day 7 to avoid any charge. Cancellation after Day 8 billing activation is subject to the refund policy below.

4.2 30 Day Money Back Guarantee

If you are dissatisfied with the Service within 30 days of your first paid billing date, you may request a full refund by contacting support@leadspyder.ai. Refunds will be processed within 5 business days to your original payment method. This guarantee applies once per client account.

4.3 No Refunds After 30 Days

After the 30 day money back period, all charges are final and non-refundable except as required by applicable law.

5. YOUR RESPONSIBILITIES

5.1 Website Disclosure

By installing the WebTracker snippet, you agree to disclose to your website visitors that your site uses first-party behavioral tracking technology for visitor identification purposes. WySMart AI will provide a compliant disclosure paragraph for inclusion in your Privacy Policy. Failure to disclose is your legal responsibility. WySMart AI is not liable for your failure to make required disclosures to your website visitors.

5.2 Compliance with Applicable Law

You are solely responsible for ensuring your use of LeadSpyder.AI complies with all applicable federal, state, and local laws, including but not limited to: the California Consumer Privacy Act (CCPA), the CAN-SPAM Act, the Telephone Consumer Protection Act (TCPA), and applicable state privacy laws. You agree to honor opt-out requests from individuals identified by SpyderBot within a commercially reasonable time.

5.3 Permitted Use

You may only use Caught Visitor data for legitimate business development and sales purposes related to your own business. You may not resell, redistribute, or transfer Caught Visitor data to third parties without written authorization from WySMart AI. You may not use the Service for harassment, spam, or any unlawful purpose.

5.4 Accurate Information

You represent that all information provided during SpyderOnboarding is accurate and that you are authorized to install the WebTracker snippet on the website URL provided. Installing WebTracker on websites you do not own or have authorization to modify is strictly prohibited.

6. INTELLECTUAL PROPERTY

6.1 Our Property

SpyderBot, the WebTracker snippet, SpyderDash, SpyderFlow, the LeadSpyder.AI brand, all associated technology, the identity graph, and all proprietary systems remain the exclusive intellectual property of WySMart AI LLC. These Terms do not transfer any ownership rights to you.

6.2 Your Data

You retain ownership of your brand onboarding data, your business information, and the Caught Visitor contact records delivered to your SpyderDash. WySMart AI retains a license to use aggregate, anonymized performance data to improve the Service.

6.3 Feedback

Any feedback, suggestions, or ideas you provide regarding the Service may be used by WySMart AI without compensation or attribution.

7. DATA & PRIVACY

Your use of the Service is also governed by our Privacy Policy, incorporated herein by reference. Key points:

• We collect and process first-party behavioral data from your website visitors via WebTracker
• Caught Visitor contact data is sourced from a third-party identity graph of 269M+ verified profiles
• All data is stored within the WySMart App platform on US-based servers
• GDPR: WebTracker operates in cookieless mode for EU visitors; person-level identification is limited for EU traffic
• CCPA: WebTracker honors Do Not Track browser signals
• We do not sell your client data or your visitors' data to third parties

8. CANCELLATION & TERMINATION

8.1 Cancellation by You

You may cancel your subscription at any time from your billing portal at billing.leadspyder.ai. Cancellation takes effect at the end of the current billing period. You will retain access to your SpyderDash until the period end date.

8.2 Termination by WySMart AI

We reserve the right to suspend or terminate your account immediately and without notice for: violation of these Terms, fraudulent activity, non-payment, or use of the Service for unlawful purposes. Upon termination, your LeadSpyder Account will be archived and you will have 30 days to export your Caught Visitor data.

8.3 Data Retention Post-Cancellation

Client account data is retained for 90 days following cancellation, after which it is purged. Master account data (aggregate platform-level data) is retained indefinitely as part of WySMart AI's proprietary data asset.

9. DISCLAIMERS & LIMITATIONS OF LIABILITY

9.1 No Warranty

The Service is provided "as is" without warranty of any kind, express or implied. WySMart AI does not warrant that the service will be uninterrupted, error-free, or that specific identification rates will be achieved.

9.2 Limitation of Liability

To the maximum extent permitted by applicable law, WySMart AI's total liability to you for any claims arising under these terms shall not exceed the total fees paid by you in the three months preceding the claim. In no event shall WySMart AI be liable for indirect, incidental, special, consequential, or punitive damages.

9.3 Indemnification

You agree to indemnify and hold harmless WySMart AI LLC, its officers, employees, and agents from any claims, damages, or expenses (including attorney fees) arising from your use of the Service, your violation of these Terms, or your failure to make required disclosures to your website visitors.

10. GOVERNING LAW & DISPUTES

These Terms are governed by the laws of the State of Tennessee, without regard to conflict of law principles. Any dispute arising under these Terms shall first be subject to good-faith negotiation. If unresolved within 30 days, disputes shall be resolved by binding arbitration under the American Arbitration Association Commercial Rules, conducted in Nashville, Tennessee.

11. MODIFICATIONS

WySMart AI reserves the right to modify these Terms at any time. Material changes will be communicated to the email address on your account with 14 days notice. Continued use of the Service after the effective date of any modification constitutes acceptance of the updated Terms.
